Terms of Service

1.Agreement to These Terms
These Terms of Service (the "Terms") are a binding agreement between you and Vetra, Inc. ("Vetra," "we," "our," or "us"), governing your access to and use of the Vetra website at vetra3d.com and any related products, applications, APIs, and services (collectively, the "Service").
By creating an account, clicking "I agree" or any similar acknowledgement, or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not access or use the Service.
If there is a conflict between these Terms and any separate written agreement you have signed with us (such as an enterprise order form or creator agreement), the separate agreement controls for the subject matter it covers.
2.Eligibility
You must be at least 13 years old to use the Service, and at least the age of majority where you live to enter into a binding contract. If you are between 13 and the age of majority, you may only use the Service under the supervision of a parent or legal guardian who agrees to these Terms on your behalf.
By using the Service, you represent that you meet these requirements, that you are not barred from using the Service under the laws of the United States or any other applicable jurisdiction, and that you are not located in, or a resident of, any country subject to a comprehensive U.S. trade embargo, and are not on any U.S. government restricted party list.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.
3.Accounts and Security
You may need to create an account to access certain features. You agree to provide accurate, current information when registering and to keep it up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account, whether or not you authorized it.
Notify us immediately at hello@vetra3d.com if you suspect unauthorized access, a lost or stolen credential, or any other security incident involving your account. We are not liable for losses arising from your failure to secure your account, but we will not unreasonably withhold assistance in securing it.
4.Subscriptions, Credits, and Billing
Vetra is offered through paid subscription plans. Paid plans renew automatically at the end of each billing period (monthly or annually, as selected) until cancelled. Pricing, included credits, and plan features are described on our pricing page and may change from time to time; any price change takes effect at the start of your next billing period, and we will give you notice before it applies to you.
Credits are consumed by certain Service operations, including generating new 3D models and exports. Unused credits do not roll over between billing periods and have no cash value. Except where required by applicable law, fees are non-refundable, including for partial periods, downgrades, and unused credits.
Payments are processed by Stripe, Inc. By providing payment information, you authorize Stripe and us to charge the applicable fees to your chosen payment method on a recurring basis until you cancel. You may cancel a paid subscription at any time through the customer portal or by emailing hello@vetra3d.com; cancellation takes effect at the end of the current billing period, and you will retain access through that date.
If a payment fails, we may retry the charge, suspend your access to paid features, and downgrade your account to a free tier until payment is resolved.
5.Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right, including intellectual property, publicity, or privacy rights;
- Generate, request, or export models or specifications for firearms, firearm components, ammunition, explosives, or other weapons designed to cause harm, including untraceable or undetectable weapons;
- Generate content that is unlawful, defamatory, harassing, hateful, sexually explicit, or that depicts minors in a sexual or exploitative context;
- Generate manufacturing specifications intended to defeat safety systems, regulatory controls, or product authentication or anti-counterfeiting measures;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Upload or introduce viruses, malware, or other code intended to damage or interfere with the Service or its users;
- Reverse-engineer, decompile, or otherwise attempt to derive the source code or underlying models of the Service, except to the extent applicable law prohibits this restriction;
- Scrape, crawl, or use automated means to access the Service outside of a documented API, or circumvent rate limits, credit limits, or access controls;
- Use the Service to build, train, or benchmark a competing product without our prior written consent.
We may review content for compliance with this section, and may remove content, suspend, or terminate accounts for violations, including immediately and without notice for severe, repeated, or safety-related violations. We may also report suspected illegal activity, including weapons-related requests, to law enforcement.
6.Your Content and License to Us
"Your Content" means the prompts, reference images, brand assets, and other materials you submit to the Service, and the outputs the Service generates for you, including 3D models, manufacturing specifications, exports, and previews.
As between you and Vetra, you retain all right, title, and interest in Your Content, subject to the rights of any third party in materials you submit. You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, copy, transmit, display, and process Your Content solely to provide, maintain, and improve the Service for you, including by routing inputs to third-party AI and manufacturing partners as described in our Privacy Policy.
You represent and warrant that you own or have the necessary rights to submit Your Content, and that Your Content and your use of any output does not infringe or violate any third-party right or applicable law.
7.AI-Generated Output
The Service uses third-party AI providers to generate 3D models, manufacturing specifications, and related text. Outputs may be inaccurate, incomplete, structurally unverified, or unsuitable for production without further engineering review, and similar or identical outputs may be generated for other users from similar prompts.
You are solely responsible for reviewing, testing, and validating any output, including for structural integrity, manufacturability, safety, and regulatory compliance, before relying on it, manufacturing it, or distributing it to others. We make no representation that any output is original, free of third-party rights, or fit for any particular purpose, and outputs are provided on an as-is basis to the maximum extent permitted by law.
8.Vetra's Intellectual Property
The Service, including its software, models, interfaces, designs, trademarks, and all content other than Your Content, is owned by Vetra or its licensors and protected by intellectual property laws. Except for the limited rights expressly granted to you in these Terms, no rights are granted to you in or to the Service.
9.Feedback
If you send us feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, royalty-free license to use them for any purpose without any obligation or compensation to you.
10.Third-Party Services
The Service integrates with third-party services, including payment processing, AI model providers, manufacturing partners, hosting, and email delivery. Your use of those services is also governed by their respective terms and policies. We are not responsible for third-party services, and integrating them is not an endorsement of them.
11.Copyright Complaints
We respect intellectual property rights and respond to notices of alleged copyright infringement. If you believe content available through the Service infringes your copyright, send a written notice to hello@vetra3d.com that identifies the copyrighted work, the material you claim is infringing and its location on the Service, your contact information, and a statement made under penalty of perjury that you are authorized to act and that the information in the notice is accurate. We may remove or disable access to material in response to a valid notice and may terminate the accounts of repeat infringers.
12.Export Control and Sanctions
The Service may be subject to U.S. export control and economic sanctions laws. You represent that you are not located in a country subject to a U.S. embargo, are not on any U.S. government list of prohibited or restricted parties, and will not use the Service to export, re-export, or transfer any output in violation of applicable export control or sanctions laws.
13.Disclaimers
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICE AND ALL OUTPUTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICE OR ANY OUTPUT WILL BE ACCURATE, UNINTERRUPTED, SECURE, OR ERROR-FREE.
14.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VETRA AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE, OR ANY OUTPUT, INCLUDING ANY PHYSICAL PRODUCT MANUFACTURED FROM AN OUTPUT.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS. THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE, AND EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
15.Indemnification
You agree to defend, indemnify, and hold harmless Vetra, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or connected with: (a) your access to or use of the Service; (b) Your Content; (c) any product manufactured, sold, or distributed using an output; or (d) your violation of these Terms or applicable law.
16.Dispute Resolution; Arbitration Agreement
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.
You and Vetra agree to first try to resolve any dispute informally by contacting hello@vetra3d.com and describing the dispute; each party will have 30 days to respond in good faith before pursuing formal proceedings.
If a dispute is not resolved informally, you and Vetra agree that it will be resolved by binding, individual arbitration administered by the American Arbitration Association (AAA) under its rules then in effect, rather than in court, except that either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court for actual or threatened infringement or misuse of intellectual property.
You and Vetra each agree that any arbitration will be conducted only on an individual basis and not as a class, collective, or representative action, and the arbitrator may not consolidate more than one person's claims. If this class action waiver is found unenforceable as to a particular claim, that claim, and only that claim, will proceed in court rather than in arbitration.
If you are a consumer located in a jurisdiction that grants you non-waivable rights to bring claims in court or before a local regulator (for example, under EU or UK consumer protection law), this section does not limit those rights, and this section applies only to the extent permitted by the law of your jurisdiction.
17.Governing Law and Venue
To the extent any dispute is not subject to arbitration under Section 16, these Terms are governed by the laws of California, without regard to its conflict-of-laws principles, and you and Vetra submit to the exclusive jurisdiction of the state and federal courts located in Irvine, California.
18.Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service, including any paid subscription, at any time, with or without notice, for any reason, including if we believe you have violated these Terms.
Sections that by their nature should survive termination, including ownership, disclaimers, limitations of liability, indemnification, and dispute resolution, will survive.
19.Changes to the Service or These Terms
We may modify the Service or these Terms at any time. For material changes to these Terms, we will provide notice, for example by email or a notice within the Service, before the changes take effect. Your continued use of the Service after a change becomes effective constitutes your acceptance of the updated Terms.
20.Force Majeure
Neither party will be liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including acts of God, internet or utility failures, labor disputes, or governmental action.
21.Notices
We may provide notices to you by email to the address associated with your account or by posting within the Service. You may provide notice to us by emailing hello@vetra3d.com. Notice is deemed given when sent.
22.Miscellaneous
These Terms, together with the Privacy Policy and any other policies referenced in them, are the entire agreement between you and Vetra regarding the Service and supersede all prior agreements on that subject. If any provision is held unenforceable, the remaining provisions remain in full force and the unenforceable provision will be reformed to the minimum extent necessary to make it enforceable. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them without your consent in connection with a merger, acquisition, financing, or sale of assets. Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and Vetra.
